    BeMetals Corp (TSX-V: BMET | OTCQB: BMTLF) plans to generate significant value for shareholders by incrementally growing into a leading metals producer through prudent acquisitions and development of quality exploration, development and production stage mineral projects.

    On February 17, 2021, BeMetals announced the signing an Amalgamation Agreement to acquire privately owned Kronk Resources Inc. (“Kronk”) and its wholly owned subsidiary Kazan Resources (“Kazan”), which holds the rights to a highly prospective portfolio of advanced and early-stage gold exploration projects in Japan (the “Transaction”).

    In connection with the Transaction, a special meeting of the holders of common shares of BeMetals Corp. (“BeMetals”) will be held virtually by webcast on March 31, 2021, at 11:00 a.m. (Vancouver time), for the following purposes:

    1. To consider, and if deemed advisable, to pass an ordinary resolution of disinterested shareholders (the "Transaction Resolution") to approve the acquisition of all of the outstanding common shares of Kronk Resources Inc., as more particularly described in the management information circular (the "Circular"). The full text of the Transaction Resolution is set forth in Schedule "A" in the Circular.

    2. To transact such other business as may properly be transacted at such meeting or at any adjournment thereof.

    The Circular includes more detailed information relating to the matters to be considered at the BeMetals shareholder meeting. The record date for determining the BeMetals shareholders entitled to receive notice of and vote at the BeMetals shareholder meeting is the close of business on February 24, 2021.

    Mr. Iwanaka is a founding member of the BeMetals executive management team. He has over 18 years of investor relations and corporate development experience in the mining industry. Over the course of his career, he has been involved with over 20 mergers, acquisitions and property divestitures, and he has played key roles in raising over US$100 million through various equity financings, including one of the first at-the-market (“ATM”) financings by a Canadian brokerage firm.

    Prior to joining BeMetals, Mr. Iwanaka oversaw the marketing programs for a number of mining companies traded in Canada, USA, Germany and the UK.
